Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Musk & Gale LLC ("Regulyze," "we," "us," or "our"), including our website at https://regulyze.comand our cloud-hosted compliance platform (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Description of Service

Regulyze provides a cloud-based compliance-automation platform that helps organisations manage evidence collection, policy management, control testing, vendor risk assessment, and audit preparation across frameworks including SOC 2, ISO 27001, and GDPR.

The Service is provided on a subscription basis. Features, scope, and usage limits are determined by the plan selected during sign-up and as described on our Pricing page.

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at hello@regulyze.com if you suspect unauthorised access to your account.

4. Subscription and Billing

4.1 Plans and pricing

Subscription fees are based on the plan you select. Pricing is published on our website and may be updated from time to time. We will provide at least 30 days' notice before any price change takes effect on your existing subscription.

4.2 Billing cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen billing period. Annual subscriptions are non-refundable except as described in Section 4.4.

4.3 Payment

You authorise us to charge your chosen payment method for all applicable fees. If payment fails, we will attempt to collect the outstanding amount and may suspend access to the Service after 7 days of non-payment.

4.4 Refunds

Monthly subscriptions: no refunds for partial months. Annual subscriptions: if you cancel within the first 30 days, we will issue a pro-rated refund for the unused portion. After 30 days, annual subscriptions are non-refundable.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Circumvent or disable any security, authentication, or access-control features.
• Use the Service to store or transmit malicious code, viruses, or harmful content.
• Resell, sublicense, or make the Service available to third parties except as expressly permitted by your plan.
• Use automated means (bots, scrapers) to access the Service without our prior written consent.

6. Your Data

6.1 Ownership

You retain all rights to the data you upload, input, or generate through the Service ("Customer Data"). We do not claim any ownership interest in your Customer Data.

6.2 License

You grant us a limited, non-exclusive, worldwide license to use, process, and store Customer Data solely to provide and improve the Service. This license terminates when you delete your data or your subscription ends.

6.3 Data processing

Our processing of personal data within Customer Data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement executed between you and Regulyze.

6.4 Data portability

You may export your Customer Data at any time through the Service's built-in export features. Upon subscription termination, we will make your data available for export for 90 days, after which it will be permanently deleted.

7. Intellectual Property

The Service — including its software, design, documentation, trademarks, and all intellectual property — is owned by Musk & Gale LLC and is protected by applicable copyright, trademark, and intellectual-property laws.

These Terms do not grant you any right to use the Regulyze name, logo, or trademarks without our prior written consent.

8. Availability and Support

We target 99.9 % uptime for the Service, measured monthly. Scheduled maintenance windows will be communicated at least 48 hours in advance. We provide customer support via email and in-product chat during business hours (Monday–Friday, 9 AM–6 PM US Pacific Time). Enterprise customers may have separate support terms defined in their order form.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, arising from your use of the Service.
• Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Regulyze in the 12 months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Musk & Gale LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your infringement of any third-party right.

11. Termination

11.1 By you

You may cancel your subscription at any time through the Service settings or by contacting us at hello@regulyze.com. Cancellation takes effect at the end of the current billing period.

11.2 By us

We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees after notice, or if we are required to do so by law. We will provide reasonable notice where possible.

11.3 Effect of termination

Upon termination, your right to use the Service ceases immediately. Customer Data will be available for export for 90 days following termination, after which it will be permanently deleted. Sections that by their nature should survive termination (including Sections 6.1, 7, 9, 10, and 13) will survive.

12. Modifications to Terms

We may modify these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. Any disputes arising under or in connection with these Terms shall be resolved by binding arbitration administered by JAMS in San Francisco, California, under its Comprehensive Arbitration Rules. Either party may seek injunctive relief in a court of competent jurisdiction.

14. General Provisions

• Entire agreement: These Terms, together with the Privacy Policy and any executed order form, constitute the entire agreement between you and Regulyze.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to a successor entity in connection with a merger, acquisition, or asset sale.
